Terms & Conditions

Please read these terms carefully before using our services

Important: These Terms of Service constitute a legally binding agreement between you and ZivoHub Inc. governing your use of our school management platform and related services.

1. Acceptance of Terms

By accessing or using the ZivoHub school management system ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a school, district, or other educational institution ("Institution"), you represent that you have the authority to bind such Institution to these Terms.

If you do not agree to these Terms, you must not access or use our Service. Supplemental terms may apply to certain Services, such as policies for a particular event, activity, or promotion, and such supplemental terms will be disclosed to you in connection with the applicable Service(s).

2. Definitions

"Service"

Refers to the ZivoHub school management platform, including all features, functionalities, websites, and user interfaces.

"Content"

Includes all information, data, text, software, music, sound, photographs, graphics, video, messages, and other materials that are posted, generated, provided, or otherwise made available through the Service.

"User"

Any individual who accesses or uses the Service, including administrators, teachers, students, parents, and other authorized personnel.

"Student Data"

Any information directly related to a student that is maintained by an educational institution or agency, or by us acting on behalf of the institution or agency.

3. Account Registration

To access certain features of the Service, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities that occur under your account

3.1. Account Types

Different account types are available depending on your role (administrator, teacher, student, parent). Each account type has different permissions and capabilities within the Service.

3.2. Age Requirements

If you are under the age of 13, you may not create an account without consent from a parent or guardian and approval from your educational institution in compliance with COPPA regulations.

4. Services Description

ZivoHub provides a cloud-based school management platform that includes but is not limited to:

  • Student information management
  • Attendance tracking
  • Gradebook and reporting
  • Scheduling and calendar management
  • Fee management and payment processing
  • Communication tools
  • Data analytics and reporting

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including the availability of any feature, database, or content.

5. Fees and Payment

Access to the Service may require payment of fees. You agree to pay all applicable fees as described on our Pricing page when you sign up for the Service.

5.1. Subscription Terms

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as otherwise stated in our refund policy.

5.2. Price Changes

We reserve the right to change our subscription plans or adjust pricing for our Service in any manner and at any time. Price changes will be communicated to you at least 30 days in advance.

5.3. Taxes

All fees are exclusive of taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes, levies, or duties.

6. Data Privacy & Protection

We take the privacy and security of your data seriously. Our Privacy Policy explains how we collect, use, and protect your information.

6.1. Student Data Privacy

We comply with applicable student data privacy laws including FERPA, COPPA, and GDPR. We act as a "School Official" with "legitimate educational interests" as defined under FERPA when processing Student Data.

6.2. Data Ownership

Educational institutions retain ownership of all Student Data. ZivoHub does not claim ownership of any Student Data processed through the Service.

6.3. Data Processing

We only process Student Data for the purpose of providing the Service and as authorized by the educational institution. We do not use Student Data for advertising or other commercial purposes unrelated to the Service.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by ZivoHub Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.1. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your institutional purposes.

7.2. Restrictions

You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Remove any proprietary notices or labels
  • Use the Service for any illegal or unauthorized purpose

8. Limitation of Liability

To the maximum extent permitted by applicable law, ZivoHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any unauthorized access, use, or alteration of your transmissions or content

In no event shall ZivoHub's aggregate liability exceed the greater of one hundred U.S. dollars (U.S. $100.00) or the amount you paid ZivoHub in the past six months for the Service giving rise to the claim.

9. Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your account or cease providing you with all or part of the Service at any time for any reason, including if we reasonably believe you have violated these Terms.

9.1. Effect of Termination

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9.2. Data Export

Upon termination, we will provide a reasonable opportunity to retrieve your Content. After a grace period of 30 days following termination, we may delete your Content and Data.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Delaware.

11. Changes to Terms

We may modify these Terms from time to time. If we make changes, we will provide notice of such changes by updating the "Last Updated" date at the top of these Terms and, in some cases, we may provide additional notice (such as adding a statement to our homepage or sending you a notification).

Your continued use of the Service after any modification to these Terms will constitute your acceptance of such modification.
